3. Effect of Termination: Upon termination of this Agreement for any reason, all rights and obligations of the parties that by their nature should survive termination of this Agreement will survive such termination. This includes, but is not limited to, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
4. Account Deletion: Upon termination, we reserve the right to delete or deactivate your account, block your email or IP address, and discard all information related to your account and use of the Services. Governing Law and Jurisdiction

Jurisdiction: The state and federal courts located in Maricopa County, Arizona, shall have exclusive jurisdiction to adjudicate any dispute arising out of or relating to this Agreement or its formation, interpretation or enforcement. Each party hereby consents and submits to the exclusive jurisdiction of such courts.
3. Venue: Each party agrees that any and all disputes, claims, and causes of action arising out of or connected with this Agreement and any transactions contemplated hereby shall be resolved individually, without resort to any form of class action, and exclusively by the state and federal courts of Maricopa County, Arizona. Each party hereby irrevocably waives any objection to the laying of venue of any such litigation in the Courts of Maricopa County and agrees not to plead or claim in any Arizona Court that such litigation brought therein has been brought in an inconvenient forum.
4. Waiver of Jury Trial: Each party acknowledges and agrees that any controversy which may arise under this Agreement is likely to involve complicated and difficult issues and, therefore, each such party irrevocably and unconditionally waives any right it may have to a trial by jury in respect of any legal action arising out of or relating to this Agreement or the transactions contemplated hereby.
5. Disputes: Any disputes or claims regarding the interpretation, breach, or enforcement of this Agreement will be resolved in accordance with the Dispute Resolution section of this Agreement.

Dispute Resolution

This section outlines the process for resolving disputes arising from or related to this Agreement.

1. Mandatory Arbitration: Any dispute, claim or controversy arising out of or relating to this Agreement or the breach, termination, enforcement, interpretation or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by arbitration in Maricopa County, Arizona, before one arbitrator. The arbitration shall be administered by JAMS pursuant to its Comprehensive Arbitration Rules and Procedures. Judgment on the Award may be entered in any court having jurisdiction.
2. Arbitration Fees: The user agrees to pay all fees and costs associated with the arbitration, including but not limited to the fees of the arbitrator and the administrative fees of the arbitration institution.
3. Initiation of Arbitration: The party desiring to initiate arbitration must provide the other party a written Demand for Arbitration as specified in the JAMS Rules. The arbitrator will be selected in a manner consistent with the JAMS Rules.
4. Arbitration Process: The arbitrator will conduct hearings, if any, by teleconference or videoconference, rather than by personal appearances, unless the arbitrator determines upon request by you or by us that an in-person hearing is appropriate. Any in-person appearances will be held at a location which is reasonably convenient to both parties with due consideration of their ability to travel and other pertinent circumstances.
5. Arbitration Decision: The arbitrator will render an award within the time frame specified in the JAMS Rules. Judgment on the arbitration award may be entered in any court having competent jurisdiction to do so. The arbitrator may award declaratory or injunctive relief only in favor of the claimant and only to the extent necessary to provide relief warranted by the claimant’s individual claim. The prevailing party in the arbitration will be entitled to an award of attorneys’ fees and expenses, to the extent provided under applicable law.
6. Prevailing Party: In the event that litigation is necessary to enforce any of the terms and conditions of this Agreement, or arises out of this Agreement, the prevailing party will be entitled to recover its reasonable attorney’s fees, costs, and expenses, in addition to any other relief to which such party may be entitled. This clause is intended to be comprehensive, and to cover all legal actions, whether at law or in equity, whether based in contract or in tort, or derived from statute or common law, whether initiated by JVWholesales.com or User.
7. Waiver of Class Action: The parties further agree that any arbitration shall be conducted in their individual capacities only and not as a class action or other representative action, and the parties expressly waive their right to file a class action or seek relief on a class basis. If any court or arbitrator determines that the class action waiver set forth in this paragraph is void or unenforceable for any reason or that an arbitration can proceed on a class basis, then the arbitration provision set forth above shall be deemed null and void in its entirety and the parties shall be deemed to have not agreed to arbitrate disputes.
8. Exception: Litigation of Intellectual Property and Small Claims Court Claims: Notwithstanding the parties’ decision to resolve all disputes through arbitration, either party may bring enforcement actions, validity determinations or claims arising from or relating to theft, piracy or unauthorized use of intellectual property in state or federal court with jurisdiction or in the U.S. Patent and Trademark Office to protect its intellectual property rights (“intellectual property rights” means patents, copyrights, moral rights, trademarks, and trade secrets, but not privacy or publicity rights). Either party may also seek relief in a small claims court for disputes or claims within the scope of that court’s jurisdiction.

Changes to the Terms of Service

1. Right to Modify: JVWholesales.com reserves the right, at its sole discretion, to change, modify, add or remove portions of these Terms of Service, at any time. It is the User’s responsibility to check these Terms of Service periodically for changes.
2. Notification of Changes: While JVWholesales.com may attempt to notify User of major changes, there is no obligation to do so. User’s continued use of the Service following the posting of changes will mean that User accepts and agrees to the changes.
